This Web site, currently located at www.wellsouled.com, as well as all services related to this Web site (collectively, the "Site") is provided by Well Souled, Inc. ("us," "our," or "we"). The terms and conditions set forth in this terms of use notice ("Terms of Use") shall govern and apply to your visit to and use of the Site. By using the Site, you agree to be bound by these Terms of Use. If you do not agree to these Terms of Use, in whole or in part, please do not use this Site.

General
We reserve the right to change or discontinue any content or feature of the Site, or impose, change, or modify the terms and conditions of these Terms of Use. By continuing to use the Site, you will be deemed to have agreed to such change. You agree to review these Terms of Use periodically to be aware of such changes or revisions.

Member Sign In
For purchase transactions and for value-added service, you must become a member of the Site ("Member"). If and when you decide to become a Member, you agree to (1) provide accurate, current, and complete information about yourself as prompted by the appropriate registration form, (2) maintain and update your information to keep it accurate, current, and complete, and (3) comply with these Terms of Use. You may review, correct, change, or update your membership information on the Site directly or by e-mailing our customer support at concierge@wellsouled.com.

You acknowledge that if any information provided by you is untrue, inaccurate, not current, or incomplete, we reserve the right, at our sole discretion, to suspend or terminate your membership. As part of the membership sign in process, you will be asked to select a User Name and Password. You may not choose a User Name that impersonates someone else, is or may be illegal, is or may be protected by trademark or other proprietary rights law, is vulgar or otherwise offensive, or may cause confusion. We reserve the right to reject any User Name in our sole discretion. You agree not to transfer or resell your use of or access to the Site or permit anyone else whose account or membership was suspended or terminated to use the Site through your account, User Name or Password. If you have reason to believe that your password is no longer secure, you must promptly change your password by updating your member information, and immediately notify us at concierge@wellsouled.com. You are solely responsible for maintaining the confidentiality of your User Name and Password for any and all activities (including purchases) that are conducted through your account.

Site Conduct
The Site is intended to be used for lawful purposes only. You may not post or transmit any material or content on the Site that violates or infringes in any way upon the rights of others or solicits, encourages, or promotes the use of illegal substances or activities, which is unlawful, threatening, abusive, harassing, defamatory, libelous, derogatory, invasive of privacy or publicity rights, vulgar, obscene, bigoted or hateful, profane, scandalous, pornographic, indecent or otherwise objectionable, gives rise to civil or criminal liability or otherwise violates any local, state, or federal law. Well Souled and third party content providers also own copyrights in the content original to it. You may not modify, publish, adapt, transmit, participate in the transfer or sale, exhibit, distribute, display, reverse engineer, decompile, dissemble, perform, reproduce, create derivative works from, or in any way exploit any of the Site Content, in whole or in part. You may download or copy one copy of the Site Content for personal, noncommercial use only, provided that no changes in or deletion of author attribution, trademark, legend, copyright notice, or other proprietary notices shall be made.

Termination
Your only right with respect to any dissatisfaction with (1) these Terms of Use, (2) any policy or practice of ours in operating the Site, or (3) any content available through the Site or any change therein, is to stop visiting and using the Site. We may terminate your use of the Site, including without limitation, your membership in the Site, at any time, at our sole discretion.

Equipment
You shall be responsible for obtaining and maintaining all telephone, computer hardware, and other equipment needed for access to and use of the Site, and you are responsible for all charges related thereto.

Security
We use industry-standard encryption for the transmission of data to our servers during member sign in and order check out. See Privacy Policy for more detail. Despite these efforts, however, we may be unable to prevent and shall not be responsible for unauthorized access to such information by third parties.

Miscellaneous
These Terms of Use and any operating rules for the Site established by us constitute the entire understanding of the parties with respect to the use of the Site. We control and operate this Site from New York City in the United States of America. We do not represent that materials on the Site are appropriate or available for use in other locations. Persons who choose to access this Site from other locations do so on their own initiative and at their own risk, and are responsible for compliance with local laws, if and to the extent local laws are applicable. These Terms of Use shall be construed in accordance with the laws of the State of New York, without regard to its conflict of laws rules. You agree to personal jurisdiction by the federal and state courts located in New York County, New York State. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. The section headings used herein are for convenience only and shall not be given any legal import. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site must be filed within one (1) year after such claim or cause of action arose or be forever barred. If any provision of these Terms of Use is found to be unenforceable for any reason, than that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions.

Privacy Policy
Well Souled, Inc. has created this privacy policy for your information and protection. Well Souled is committed to protecting electronic security and customer privacy. The personal information you provide will only be used to process transactions which you authorize, to contact you regarding a particular transaction or for internal analysis and reporting. Well Souled will not disclose customer information to any outside organizations without prior consent of the customer, but may disclose user information to government and/or third parties if there is reason to believe the user is violating the terms and conditions of our company, or where otherwise required by law or by legal process.

Well Souled uses security measures in order to protect from the loss, misuse and alteration of information under our control. All orders are transmitted over secure internet connections using SSL (Secure Sockets Layer), the industry-standard in encryption technology. When the letters "http" in the url change to "https," the "s" indicates you are in a secure area employing SSL; your browser may also give you a pop-up message that you're about to enter a secure area. In addition, you can identify the secure mode if you see either a solid key icon or a locked padlock icon at the lower portion of your browser window.

Our international customers should be aware that cross-border shipments are subject to opening and inspection by customs authorities. We may provide certain order, shipment, and product information to our international carriers as requested by government authorities in order to facilitate customs clearance and comply with local laws. If the order is a gift, the package is marked "Gift," but the cost of the item is still stated on the customs form as is required by customs authorities.

We require member sign-in for all transactions. Should you forget your password, we will email you your password to the address you provided.

Shipping & Taxes
Well Souled is a global concept. We therefore offer worldwide delivery of our books through our exclusive shipping partner, DHL. All deliveries are shipped from Well Souled headquarters in New York City. Delivery times are in terms of business days and do not account for delays resulting from weather or unforeseen circumstances. The ship weight of each book is approximately 8 lbs.

Well Souled offers the following shipping options:

International	2 to 4 days	$35.00 for the first book; $15.00 for each aditional book. This shipping fee excludes customs and taxes incurred in destination country.

For United States domestic orders, sales tax is applicable on orders shipped to addresses in the state of New York only. State laws require that we charge a sales tax on the full amount of the order which includes charges for shipping and handling. Actual tax as calculated to complete your order is based on the zip code of the shipping address you provide us.

Order Tracking
For your protection, each order placed is shipped via DHL with an individual tracking number. You will be provided this number via email when your order ships and may track your package at www.dhl.com.

These terms and conditions are in addition to the standard Terms of Use, Privacy Policy and Payment & Returns statement of the Well Souled website. Pursuant to those terms, title and risk of loss for the items transfer to the recipient upon delivery to the common carrier in the United States.

Payment Method & Security
Well Souled accepts Visa, MasterCard, American Express, Discover and Diners Club credit cards. All payments are processed via YourPay in U.S. Dollars. Well Souled is not responsible for exchange rate calculations associated with international orders. For more detail on our internet commerce security, please visit our Privacy Policy.

Your Pay

Returns & Replacements
Well Souled has a no-return policy unless the product is delivered damaged, in which case it can be returned and exchanged at no extra cost to the customer. If product is damaged upon delivery, please email concierge@wellsouled.com and you will be provided further information and instructions. (Original receipt as proof of purchase is required for all damaged claims.)
